Welcome to ICT Matrics (P) Ltd. ("ICT Matrics," "we," "our," or "us"). By accessing our website, purchasing our software products, or engaging our consulting and development services, you ("Client," "User," or "you") agree to be bound by these Terms and Conditions. Every bespoke project is governed by a dedicated Project Proposal, Scope of Work (SOW), or Service Agreement that outlines deliverables, milestones, and technical specifications.
Client Deliverables: Upon receipt of full and final payment, intellectual property rights to bespoke software source code developed specifically for the client are assigned as outlined in the bilateral project contract.
Pre-existing Code & Frameworks: ICT Matrics retains all rights, title, and ownership in its proprietary libraries, foundational frameworks (including ICTM Framework), reusable modular engines, trademarks, and pre-existing digital assets used during implementation.
To ensure project milestones are fulfilled accurately, the client agrees to:
All professional fees are quoted in Nepalese Rupees (NPR) unless mutually agreed otherwise. Payment schedules follow agreed milestone structures (e.g., initial deposit, development milestones, and final launch sign-off). Invoices are payable within the timeframe stipulated on the invoice. Failure to settle dues may result in suspension of project hosting or support services until full clearance.
To the maximum extent permitted by applicable laws of Nepal, ICT Matrics will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or data corruption arising from third-party hosting outages, telecom failures, or unauthorized security breaches beyond commercially reasonable security measures.
Both parties agree to treat all business plans, customer databases, technical architectures, and financial data exchanged during the engagement as strictly confidential. Neither party will disclose proprietary material to third parties without prior written consent, except where required by law.
These Terms and Conditions are governed by and construed in accordance with the laws of Nepal. Any legal dispute or claim arising under these terms that cannot be resolved amicably through mutual consultation will be subject to the exclusive jurisdiction of the competent courts in Lalitpur / Kathmandu, Nepal.
